Legal agreement between you and Teka Media Housse (Pty) Ltd

IMPORTANT — READ CAREFULLY

By accessing or using the Teka SA platform, you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Platform. These terms constitute a legally binding agreement between you and Teka Media Housse (Pty) Ltd.

1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the Teka SA mobile application and website (the "Platform") operated by Teka Media Housse (Pty) Ltd ("Teka SA", "we", "us", or "our"), a company registered in South Africa.

By using the Platform, you represent that:

  • You are at least 13 years old
  • If you are between 13-17, you have parental/guardian consent
  • You have the legal capacity to enter into a binding contract
  • You will comply with all applicable laws and these Terms

2. Account Registration and Security

2.1 Account Creation

  • You must provide accurate and complete information
  • You may only create one account per person
  • You are responsible for maintaining account confidentiality
  • You must notify us immediately of any unauthorized access

2.2 Creator Accounts

To monetize content and receive payments, you must:

  • Be at least 18 years old
  • Complete identity verification (ID document, tax information)
  • Provide valid South African bank account details
  • Comply with all creator monetization requirements
  • Accept responsibility for tax obligations on earnings

2.3 Account Termination

We may suspend or terminate your account if you:

  • Violate these Terms or Community Guidelines
  • Engage in fraudulent, illegal, or harmful activities
  • Infringe on intellectual property rights
  • Provide false or misleading information

3. COPYRIGHT AND INTELLECTUAL PROPERTY POLICY

⚠️ ZERO TOLERANCE FOR COPYRIGHT INFRINGEMENT

Teka SA has a strict zero-tolerance policy for copyright infringement. Uploading copyrighted content without permission will result in immediate content removal and account termination.

3.1 Your Content Must Be Original

By uploading content to Teka SA, you represent and warrant that:

  • You own all rights to the content (video, audio, images, text)
  • You have written permission from copyright owners for any third-party content
  • Your content does not infringe any third-party intellectual property rights
  • You have proper licenses for all music, sound effects, and audio used

3.2 MUSIC AND AUDIO COPYRIGHT POLICY

STRICTLY PROHIBITED:

  • Using copyrighted music from commercial artists without license
  • Using popular songs, background music, or soundtracks you don't own
  • Using music from streaming services (Spotify, Apple Music, YouTube Music, etc.)
  • Using movie or TV show audio/soundtracks without permission
  • Using radio broadcasts or podcast content without authorization
  • Claiming fair use for commercial purposes (monetized content)

✅ ALLOWED MUSIC SOURCES:

  • Original music you created yourself
  • Royalty-free music from licensed libraries (Epidemic Sound, Artlist, etc.)
  • Creative Commons music with proper attribution (where required)
  • Licensed music where you have written permission from copyright holder
  • Public domain music (verify copyright has expired)

3.3 Content Monitoring and Detection

We actively monitor content for copyright infringement using:

  • Automated audio fingerprinting and content ID systems
  • Manual review of flagged content
  • User reports and copyright holder notifications
  • Third-party copyright detection services

3.4 DMCA Takedown Process

We comply with the Digital Millennium Copyright Act (DMCA) and similar international laws. Copyright holders may submit takedown notices to:

Takedown notices must include: (1) identification of copyrighted work, (2) identification of infringing content, (3) contact information, (4) good faith statement, (5) accuracy statement, and (6) physical or electronic signature.

3.5 Consequences of Copyright Infringement

First Violation:

Content removed + warning + 7-day upload suspension

Second Violation:

Content removed + 30-day account suspension + monetization disabled

Third Violation:

Permanent account termination + forfeiture of unpaid earnings + potential legal action

3.6 Counter-Notification

If you believe content was removed in error, you may submit a counter-notification. False counter-notifications may result in legal liability and account termination.

3.7 License Grant to Teka SA

By uploading content, you grant Teka SA a:

  • Non-exclusive, worldwide, royalty-free license
  • Right to use, reproduce, distribute, and display your content on the Platform
  • Right to monetize content through advertising (subject to revenue share)
  • Right to promote your content for marketing purposes

You retain all ownership rights to your original content.

4. Prohibited Content and Conduct

The following content and activities are strictly prohibited:

4.1 Illegal Content

  • Content that violates South African law or international law
  • Pirated or stolen content
  • Content promoting illegal activities (drugs, weapons, fraud)
  • Terrorist content or violent extremism

4.2 Harmful Content

  • Hate speech, discrimination, or harassment based on race, religion, gender, disability, etc.
  • Violence, gore, or graphic content
  • Self-harm, suicide promotion, or dangerous challenges
  • Bullying, doxxing, or threats

4.3 Sexual Content

  • Pornography or sexually explicit content
  • Child sexual abuse material (CSAM) — zero tolerance, reported to authorities
  • Sexual solicitation or exploitation

4.4 Deceptive Practices

  • Spam, scams, or phishing
  • Fake accounts, impersonation, or identity fraud
  • Misleading information, deepfakes, or manipulated media
  • Artificially inflating views, likes, or engagement

4.5 Platform Manipulation

  • Using bots, automation, or scripts to manipulate the Platform
  • Circumventing security measures or access controls
  • Reverse engineering or attempting to extract source code
  • Creating multiple accounts to evade bans

5. Creator Monetization Program

5.1 Eligibility Requirements

To participate in monetization, you must:

  • Be at least 18 years old
  • Have a verified creator account with valid bank details
  • Comply with all Terms, Community Guidelines, and copyright policies
  • Have original content that meets monetization standards
  • Have no active copyright strikes or violations

5.2 Revenue Share Model

50/50 Revenue Split: Creators receive 50% of net advertising revenue generated from ads displayed on their content. Teka SA retains 50% to cover platform operations, infrastructure, payment processing, and growth.

5.3 Payment Terms

  • Minimum Payout: R1,000.00 (one thousand South African Rand)
  • Payment Schedule: Monthly payments processed by the 15th of the following month
  • Payment Method: Direct bank transfer via Paystack to your verified bank account
  • Currency: South African Rand (ZAR)
  • Processing Fee: Standard Paystack transaction fees apply

5.4 Tax Responsibilities

Creators are solely responsible for:

  • Reporting all earnings to the South African Revenue Service (SARS)
  • Paying applicable income tax, VAT, and other taxes
  • Maintaining accurate tax records
  • Registering as a taxpayer if required by law

Teka SA does not withhold taxes. Consult a tax professional for guidance.

5.5 Monetization Suspension

We may suspend or revoke monetization privileges if:

  • You violate Terms, Community Guidelines, or copyright policies
  • You engage in fraudulent activity or ad manipulation
  • Your content contains prohibited or ineligible content
  • You fail to maintain eligibility requirements

5.6 Earnings Forfeiture

Important: If your account is terminated for violations (especially copyright infringement), you forfeit all unpaid earnings. Teka SA reserves the right to withhold payment for content that violates these Terms.

6. Platform Usage Rules

6.1 Acceptable Use

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You will not:

  • Interfere with or disrupt the Platform's operation
  • Attempt to gain unauthorized access to systems or user accounts
  • Collect user data without consent
  • Upload viruses, malware, or harmful code

6.2 User Interactions

  • Be respectful and civil in comments and messages
  • Do not harass, bully, or threaten other users
  • Report violations to our support team
  • Block users you don't wish to interact with

7. Disclaimers and Limitation of Liability

7.1 Platform "As Is"

The Platform is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

7.2 User Content

Teka SA is not responsible for user-generated content. We do not endorse, support, or guarantee the accuracy, reliability, or legality of content posted by users. Users are solely responsible for their content.

7.3 Limitation of Liability

To the maximum extent permitted by law, Teka SA and its officers, directors, employees, and agents shall not be liable for:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Damages arising from unauthorized access to or use of our servers
  • Errors, mistakes, or inaccuracies in content
  • Service interruptions or security breaches

7.4 Indemnification

You agree to indemnify, defend, and hold harmless Teka SA from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from: (a) your use of the Platform, (b) your content, (c) your violation of these Terms, or (d) your infringement of any third-party rights.

8. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Republic of South Africa. Any disputes arising from these Terms or your use of the Platform shall be resolved in accordance with South African law.

Dispute Resolution Process:

  1. Informal Resolution: Contact us at admin@teka-mh.co.za to attempt resolution
  2. Mediation: If informal resolution fails, parties agree to mediation
  3. Jurisdiction: Disputes shall be subject to the exclusive jurisdiction of South African courts

9. Changes to These Terms

We may modify these Terms at any time. Material changes will be communicated via email and/or Platform notification. Continued use of the Platform after changes constitutes acceptance of the modified Terms.

If you do not agree to modified Terms, you must stop using the Platform and may request account deletion.

10. Severability and Entire Agreement

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

These Terms, together with our Privacy Policy and Community Guidelines, constitute the entire agreement between you and Teka SA regarding the Platform.
